Terms and conditions

1. Acceptance of Terms

By accessing or using GrantRush, an AI-powered grant discovery platform provided by GrantRush Inc., you agree to these Terms of Service ("Terms"). If you do not accept these Terms, do not use our platform. These Terms govern your access to and use of GrantRush's features and services (the "Services").

2. Eligibility

You must be at least 18 years old to use the Services and have the authority to bind the nonprofit organization you represent. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of the Service

GrantRush leverages AI to connect nonprofit organizations with grant opportunities from government agencies, foundations, and corporations. By using our Services, you are responsible for maintaining your account's confidentiality and agree not to misuse the platform. The Services are provided solely for your nonprofit's internal use and may not be used to develop competing services.

4. Input and Output Data

You retain ownership of any data you upload to GrantRush ("Input"). The platform may process your Input to generate recommendations, matches, or insights ("Output"). You must have the rights to use the Input and may not misrepresent the origin of the Output. You acknowledge that GrantRush retains all rights to the database of grant opportunities and any AI-generated content provided through the platform.

5. Payments and Subscriptions

All payments for subscriptions or paid services are non-refundable. Subscriptions automatically renew unless canceled before the renewal date. Cancellation takes effect at the end of the current billing period. GrantRush offers special nonprofit pricing, which may require verification of your organization's nonprofit status.

6. Intellectual Property

GrantRush and its associated technologies, branding, content, and grant database are the intellectual property of GrantRush Inc. You may not copy, distribute, or exploit any part of the platform without prior written authorization. The grant information, search results, and any AI-generated content are licensed, not sold, to you for use solely within the scope of these Terms.

7. Fair Use and Restrictions

a. Prohibited Actions

You agree not to:

  • Scrape, crawl, spider, harvest, index, or use automated tools, bots, scripts, or any manual methods to access, extract, download, or analyze data from GrantRush without prior written consent.
  • Reverse-engineer, decompile, disassemble, or attempt to discover the underlying source code, algorithms, database structure, or infrastructure of the platform.
  • Bypass or attempt to circumvent any authentication, security measures, access restrictions, rate limiting, or the user interface of GrantRush to access data or functionality.
  • Create derivative databases, compilations, or directories based on data obtained from GrantRush, whether for internal use or commercial purposes.
  • Use the platform in a manner that disrupts its functionality, including through excessive API requests, unauthorized access, or other harmful activities.
  • Use any portion of the GrantRush database to create a competing product or service.

b. Data Usage Restrictions

You may not:

  • Resell, redistribute, sublicense, publish, or commercially exploit the data, outputs, grant information, or insights generated by GrantRush, whether in original or modified form, without explicit written permission from GrantRush Inc.
  • Share your account credentials or grant access to the GrantRush platform to organizations, entities, or individuals who have not purchased a license or subscription.
  • Misrepresent GrantRush-generated outputs as originating from another source or claim them as your own creation without appropriate attribution, where required.
  • Use the information obtained from GrantRush for any purpose other than your nonprofit organization's grant seeking activities.

c. Ownership of Data

GrantRush retains all rights, titles, and interests in its platform data, algorithms, grant database, and generated insights, unless otherwise explicitly agreed upon in writing. You agree that:

  • Any unauthorized use, reproduction, or distribution of platform data constitutes a violation of these Terms and applicable intellectual property laws.
  • The grant information, funder analytics, and other database content provided through GrantRush is licensed to you for the duration of your subscription and solely for your nonprofit's internal use in seeking grants.

d. Monitoring and Enforcement

GrantRush reserves the right to monitor usage for compliance with these Terms and may take action, including account suspension, termination of access, or legal measures, against violations. GrantRush employs technical measures to detect and prevent unauthorized access, data scraping, or other misuse of the platform.

8. Data Privacy and Security

Your data is processed in accordance with our Privacy Policy. While we take reasonable measures to protect your data, GrantRush is not liable for breaches beyond our control. We may collect aggregate, anonymized usage data to improve our Services and grant matching algorithms.

9. AI Limitations

The AI systems used by GrantRush may not be entirely accurate or free of bias. You are responsible for validating grant opportunities, insights, or recommendations before acting on them. GrantRush is not liable for errors or omissions in AI-generated outputs, including but not limited to grant recommendations, eligibility assessments, or application assistance.

10. Limitation of Liability

GrantRush Inc. is not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including loss of profits, failure to secure grants, missed grant opportunities, or data loss. Our total liability shall not exceed the amount you paid for your subscription in the six months preceding any claim.

11. Indemnification

You agree to indemnify GrantRush Inc. against claims, damages, or expenses resulting from your misuse of the platform, breach of these Terms, or from any unauthorized access to or use of our Services under your account.

12. Dispute Resolution

Any disputes will be resolved through binding arbitration, and you waive the right to participate in class-action lawsuits. You may opt out of arbitration by notifying GrantRush within 30 days of accepting these Terms. This agreement does not prevent you from bringing your dispute to the attention of any federal, state, or local government agencies.

13. Termination

GrantRush Inc. may suspend or terminate your access to the platform if you violate these Terms or for any other reason, with or without notice. Upon termination, your right to access or use the grant database and other GrantRush Services will immediately cease, and any information you've downloaded must be deleted if requested by GrantRush.

14. Modifications to the Terms

These Terms may be updated periodically. Continued use of the platform constitutes acceptance of the updated Terms. For material changes, we will provide notification through the platform or via email to registered users.

15. Governing Law

These Terms are governed by the laws of the jurisdiction where GrantRush Inc. is registered. Legal disputes are subject to arbitration or the jurisdiction's courts.
